Charter of the IUCI International Congress of Business Elite

 

1. International Congress of Business Elite of the International Union of Commerce and Industry (the IUCI Congress; Congress) is an integral part and the structural division of the IUCI, aimed at implementation of the program of cooperation and joint development of business and social initiatives by entrepreneurs from around the world. The Congress is also aimed at promotion of inclusion of commercial structures and businessmen from around the world into processes of improvement of social infrastructure and conditions of life in various countries.

2. The Congress has the status of the public structure, functioning on terms of purposeful joint interaction of Congress members and the IUCI (society in participation) within the framework of the IUCI activity and under its patronage.

3. Functioning of the Congress is the manifestation and essence of social noncommercial activity of the IUCI. Implementing competence provided by the present Charter, the Congress acts on behalf and in interests of the IUCI in relations with third parties. Is also creates relevant rights and obligations to the IUCI.

4. Within the framework of implementation of the special social noncommercial activity the Congress (officially representing the IUCI) is urged to globally promote:

- development of businesses of all levels as well as formation of industrial, financial, commercial and scientific policy in various countries of the world assisting in such development;

- regulation of relationships between businessmen and their social partners, creation of favorable conditions for business and organization of interaction between entrepreneurial entities from around the world with governments represented by relevant public authorities;

- all-round development of all kinds of commercial and scientific-technical connections between entrepreneurs from around the world with their foreign colleagues, as well as coordination and representation of interests of all Congress members, entrepreneurs and their unions regardless of forms of property, subordination and geographical location;

- development of effective forms of international commercial cooperation; widening and intensification of the international trade turnover.

5. While carrying out special public noncommercial activity the Congress:

- provides organizations and entrepreneurs from around the world with assistance in their activities; represents and protects their rights and interests in matters connected with implementation of economic activity within relevant states and beyond their borders;

- works out methods of development of all forms of business including small-scale business;

- organizes cooperation between subjects of economic activity, as well as their interaction with countries represented by public authorities and with social partners; participates in contractual regulation of social-labor relations, settlement of labor disputes, implementation of social partnership programs;

- promotes the attraction of investments in economic systems of various states and promising business projects;

- organizes activity in the sphere of management of investment, commercial and other business risks, business security assurance, protection of investments and assessment of business reputation of economic subjects;

- carries out examination and analysis of business activity, application of various enactments effective in the sphere in various states and also offers ways of their improvement;

- provides organizations and businessmen from certain countries with assistance in understanding modern business culture, ethics, traditions and features of business management in other states;

- carries out measures of public influence directed to non-admission and suppression of unfair competition;

- implements policy of social responsibility of businessmen and their unions; supports social initiatives of organizations;

- promotes the development of export-import operations and international business activity; provides organizations and businessmen with practical assistance in establishment of business connections with foreign partners, operations on external markets and understanding new forms of trade-economic and scientific-technical cooperation;

- establishes and breaks connections with business and public circles of various countries as well as organizations uniting or representing them;

- takes part in activities of various international organizations; takes part in activities of mixed Chambers of Commerce and joint business Boards;

- administers the non-governmental Register of companies and entrepreneurs from around the world, whose financial and economic situation testifies to their reliability as partners in joint business activities with foreign partners;

- administers non-governmental registers of experts in commodities expertise and assessment activity as well as other non-governmental registers, determines the order of administering them, issues registration certificates;

- establishes and supports arbitration and intermediate courts (within the IUCI structure) as well as other specialized bodies contributing to the settlement of business disputes; carries out coordination and methodical support of activity of arbitration and intermediate courts within Chambers of Commerce and Industry and other organizations from various countries;

- takes part in the development and adoption of Regulations and Charters of arbitration and intermediate courts as well as other specialized bodies established within the IUCI structure and contributing to the settlement of business disputes;

- develops cooperation in the field of international commercial arbitration, recommends arbitration clauses for implementation of economic, scientific-technical and commercial connections with foreign countries;

- in cases covered in regulations of relevant international arbitration institutions and intermediate courts as well as agreements of interested parties, assigns arbitrators and provides assistance in carrying out the arbitration including the «ad hoc» arbitration for certain legal investigations;

- provides companies, organizations, businessmen, their groups, unions and associations from around the world with informational and consultation services in matters of organization and administration of business activity, markets investigation, external-economic and financial operations and other matters within the IUCI competence; promotes the development of infrastructure of information servicing of business in various countries of the world;

- provides organizations and businessmen from around the world with assistance in patenting of inventions, utility models, industrial samples, registration of trademarks, service marks and names of commodity origin locations; promotes commercial implementation of their rights for all objects of industrial property;

- takes part in elaboration and implementation of measures in suppression of manufacturing and selling pirate production, protection of intellectual property on territories of separate states and on the international scale;

- takes part in elaboration of policy and coordination of exhibition fairs organization;

- organizes national and international exhibitions;

- renders publishing and advertising services;

- publishes newspapers, journals, other printed and electronic issues;

- creates and/or takes part in creation of programs for television and radio aimed at support of business activity;

- contributes to the development of personnel business education and training systems in various countries of the world; upon requests of persons concerned takes part in elaboration and implementation of state and inter-state programs in this field;

- in accordance with international practice verifies commodity origin certificates, prepares documents connected with export and import of goods and services as well as other documents connected with implementation of external economic activity;

- attests force majeur circumstances in accordance with terms of external-economic transactions and international agreements of various countries as well as commercial customs and customs of ports widespread in certain states and on the international level;

- carries out certification, expertise, goods quality, quantity and completeness control ordered by organizations and businessmen from around the world;

- implements independent assessment of various types of property;

- carries out scientific-analytical and research activities devoted to main problems of economics and the entrepreneurship development;

- assigns special distinguishing marks and honorary titles for contribution to the development of international entrepreneurship;

- implements other functions corresponding to aims and goals of the IUCI and not contradicting international law and legislation of states the IUCI carries out its activities in.

6. While carrying out special public noncommercial activity, the IUCI represented by the Congress, has the right to:

- by way of public initiative or upon the request of interested authorities of certain countries, take part in the development of projects of laws and other standard acts of interested states connected with interests of entrepreneurs;

- carry out independent expertise of projects of legal acts of interested states in the field of economics, foreign economic relations and other matters connected with interests of commercial and noncommercial organizations and businessmen;

- represent and protect legal interests of members of the IUCI in state authorities of various countries;

- take part in inter-governmental commissions on international commercial-economic and scientific-technical cooperation, delegations present at sessions of international organizations, negotiations with foreign states and NGOs concerning matters of foreign trade, economic and scientific-technical cooperation (special invitation of the parties concerned is needed);

- be included in the list of members and take part in activities of inter-governmental, governmental and interdepartmental commissions of various states concerning matters of international economic cooperation, as well as national committees and other parties and organizations acting and created for the purpose of development of such cooperation (special invitation of the parties concerned is needed);

- make transactions and other legal acts with legal entities, individuals and businessmen;

- buy and alienate immovable and movable assets;

- create, reorganize and liquidate organizations around the world in the order determined by the law; establish mixed Chambers of Commerce and Industry, joint business Boards together with businessmen and organizations from around the world and take part in their activities;

- determine the order of establishment and scale of special funds formed within the IUCI and main directions of their use within the framework of implementation of special public noncommercial activity;

- determine methods of implementation of own economic activity, establish structure, personnel arrangements, number of employees, forms and amounts of payment as well as material stimulation of their work;

- establish unions and associations with other noncommercial organizations in order to ensure wider and more comprehensive fulfillment of functions of the IUCI, represented by the Congress, determined by the present Charter;

- carry out non-governmental accreditation of international, national and regional commercial-industrial structures;

- organize and administer tenders (contests, auctions) in the order determined by the international law and legislation of separate countries;

- implement other authorities not contradictory to the international law and legislation of states the IUCI carries out own activities in.

7. Membership in the Congress (within the framework of implementation of special public noncommercial activity of the IUCI).

7.1. Legal entities and individuals - international, national or regional commercial-industrial structures, companies, enterprises, organizations and private entrepreneurs, as well as owners of commercial structures (businessmen) from around the world can become members of the Congress.

7.2 Members of the Congress have equal rights and obligations in relation to the IUCI and to each other.

7.3. Members of the Congress are not founders or owners of the IUCI. They do not acquire corporate rights connected with the IUCI, they are not provided with the right to take part in the management of financial-economic activity of the IUCI as a legal entity and the object of the property right.

7.4. Members of the Congress are allocated with relevant rights and obligations in relation to the IUCI and to each other only in limits of special public noncommercial activity carried out by the IUCI and regulated by the present Charter.

7.5. Legal essence of membership in the Congress has the nature of collective partnership, association and coordination of efforts of Congress members and mutual representation of rights and interests of each other beyond limits of the Congress activity.

7.6. New Congress members are accepted in the order determined by the Congress Presidium.

7.7. Authorities and rights of Congress members are verified by the written resolution of the Congress Presidium and the special Congress member Certificate.

8. Administrative bodies of the Congress.

8.1. The highest administrative body managing public noncommercial activity of the IUCI is the General meeting of the IUCI Congress. It's sphere of competence includes consideration of all matters connected with special public noncommercial activity of the IUCI determined by the present Charter.

8.2. General meeting of the IUCI Congress can be organized (and make decisions concerning matters within its competence) upon condition of presence of 50% of the Congress members. Decisions are made by simple majority of votes. General meetings of the IUCI Congress may be held through physical gathering of members or in the remote interactive form.

8.3. The Congress Presidium is the constant administrative body managing public noncommercial activity of the IUCI, elected for a term of two years by the IUCI Congress from among members of the Congress (uneven number, from 3 to 7 people).

8.4. Competence of the Congress Presidium is formed through delegation of certain authorities from the IUCI Congress to the Congress Presidium.

8.5. While electing members of the Presidium the Congress elects the Congress President from among members of the Presidium. Term of office of the Congress President is equal to the term of authority of the Congress Presidium.

8.6. The Congress Presidium directs special public noncommercial activity of the IUCI between meetings of the Congress within the framework of delegated authorities.

8.7. The Congress President directs activities of the Congress Presidium and presides at Congress meetings.

8.8. In accordance with the present Charter, in order to specify it and regulate matters not regulated by the present charter the Congress establishes special Regulations "On the IUCI Congress", "On the IUCI Congress Presidium and President", "On the IUCI Congress membership". Additional mechanisms of implementation and administration of special public noncommercial activity of the IUCI are determined in these documents.

8.9. Decisions of the Congress and the Congress Presidium made within the framework of implementation of special public noncommercial activity of the IUCI, requiring conclusion of official legal documents with third parties are prepared and officialized through administrative bodies of the IUCI subordinate to owners and founders of the IUCI. Owners and founders of the IUCI as well as administrative bodies subordinate to them do not have the right to refuse to prepare and officialize decisions made by the Congress and the Congress Presidium within their competence delegated by the present Charter. Preparation and officialization of decisions made by the Congress and the Congress Presidium requiring not only conclusion of official legal documents with third parties, but also investment of relevant financial resources, is carried out only after approval of the highest administrative body of the IUCI.

8.10. Incomes or losses of the IUCI, based on decisions made by the Congress and the Congress Presidium within the framework of implementation of the special public noncommercial activity of the IUCI, approved and officialized through conclusion of official legal documents between the IUCI and third parties, are considered to be the result of economic activities of the IUCI. Revenues gained by the IUCI in a specified way will be used by the IUCI in accordance with the Congress decision for purposes determined by the present Charter.

9. Rights and obligations of the IUCI Congress members.

9.1. Congress members (directly through their representatives) have the right:

1) to participate in activity of the IUCI Congress;

2) to elect Presidium members and the IUCI Congress President and to be elected to these positions;

3) to submit offers connected with a subject of special public noncommercial activity of the IUCI for consideration of the Congress, Presidium and the Congress President;

4) to use services provided by the IUCI, structures organized by the IUCI as well as partners of the IUCI on favorable terms determined by administrative bodies of the IUCI;

5) to participate in all commercial and social programs of the IUCI;

6) to act as the Official Partner of the IUCI;

7) to offer the IUCI and Congress members implementation of joint commercial projects and social programs and to participate in distribution of results of their realization.

9.2. Obligations of Congress members.

1. Active assistance in implementation of goals and functions of the Congress.

2. Participation in activities of the Congress.

3. Timely payment of joining and membership fees in case of their introduction by administrative bodies of the IUCI.

4. Implementation of own business activities with observance of principles of social responsibility, decency, respect to contractors - other Congress members. Non-admission of unfair competition and incorrect behavior in everyday business practice.

5. Non-admission of deeds able to cause moral or property damage to the IUCI and Congress members while managing own business or carrying out activities in other spheres.

9.3. A Congress member can discontinue participation in the Congress through written application to the Congress Presidium.

9.4. If a Congress member does not fulfill one of obligations determined by the present Charter, this member may be excluded from the list of Congress members upon the decision of the Congress Presidium.

10. Status of founders and owners of the IUCI in relation to activities of the IUCI Congress.

10.1. Founders and owners of the IUCI do not have the right to interfere with special public noncommercial activity of the IUCI as well as functioning of the Congress, Presidium and the Congress president.

10.2. Founders and owners of the IUCI have the right to become Congress members, participate in this role in special public noncommercial activity on equal rights with other Congress members and be elected to the Presidium or as the Congress President.

10.3. Through decisions of administrative bodies of the IUCI founders and owners of the IUCI have the right to make any changes and additions to the present Charter, including those affecting statements of the Charter concerning special public noncommercial activity of the IUCI, in case if such changes are approved by the IUCI Congress decision.

11. Sources of financing the IUCI Congress.

11.1. Special public noncommercial activity of the IUCI is financed from the following sources:

1. Admission fees and membership fees of the Congress members;

2. Payment for services of the IUCI made within the framework of implementation of its public noncommercial activity;

3. Part of the net profit of the IUCI, gained from commercial activity of the IUCI (as a legal entity - commercial organization), directed by founders and owners of the IUCI to financing public noncommercial activity;

4. Profits gained by the IUCI from activities of organizations established by the IUCI within the framework of implementation of special public noncommercial activity;

5. Other sources of profits became available within the framework of implementation of special public noncommercial activity, not excluded by legislation of countries the IUCI implements its programs and projects in.
